2. Purpose

These General Terms and Conditions of Sale (CGV) govern the use of Fluenceur, an affiliate marketing platform enabling advertisers to recruit, activate and reward affiliates, in particular via social networks.

Definitions

For the purposes of these General Terms and Conditions of Sale (CGV), the following terms have the meaning assigned to them below:

  • Advertiser: means any legal or natural person acting for professional purposes (brand, company, agency or distributor) using the Fluenceur platform to create, manage or monitor one or more affiliate programs.
    This term notably includes e-commerce brands, agencies acting on behalf of their clients and advertisers wishing to activate affiliates or creators.
  • Affiliate: means any natural or legal person who has agreed to participate in an affiliate program offered by an Advertiser via the Fluenceur platform and who may receive performance-based remuneration.
  • Platform or Fluenceur: means the SaaS solution operated by the company DIGITSOLUTIONS, enabling the creation, management and monitoring of affiliate programs, as well as the processing of related payments and commissions.

3. Pricing and Services

a. Free trial – Freemium (14 days)

Fluenceur offers a free trial period of 14 days, allowing Advertisers to discover the main features of the platform without commitment.

During this period, the user has limited access to the following features:

  • Connection of Shopify and Instagram (independent integrations)
  • Automatic identification of creators who have mentioned the Advertiser on Instagram
  • Viewing of UGC content and associated statistics
  • Creation and management of an affiliate program
  • Manual invitation of Affiliates by email address

At the end of the trial period, access to features is suspended unless a paid plan is subscribed to.

b. Paid subscriptions

Fluenceur offers several monthly plans without commitment, adapted to the size and operational needs of Advertisers.

Essential Plan – €149 excl. VAT / month or €119 excl. VAT / month (annual commitment)

  • Direct connection to Shopify for automated tracking of sales and commissions
  • Instagram integration for detecting mentions and UGC content
  • Up to 3 simultaneous affiliate programs
  • Unlimited invitations of Affiliates (via email or Instagram mentions)
  • Simplified dashboards
  • Access to a secure Affiliate portal (tracking sales, promo codes, payments)

Pro Plan – €299 excl. VAT / month or €239 excl. VAT / month (annual commitment)

  • All features of the Essential plan, without limitation
  • Discovery – AI feature
  • Advanced dashboards: performance analysis, ROI and detailed statistics

On-demand subscription – From €599 excl. VAT / month

For high-volume Advertisers, multi-Advertiser agencies or projects requiring specific technical integrations, Fluenceur offers a tailored solution.

This plan notably includes:

  • A multi-Advertiser account with centralized management
  • Customized integrations (open APIs, CRM, etc.)
  • Team training and dedicated support
  • Adjustable technical and contractual parameters (payment methods, reporting, users with multiple roles)

Fluenceur service fees (5%) usually applied to commissions paid to Affiliates are waived for clients with an on-demand subscription.

Pricing and functional terms are set out in a specific quotation signed between Fluenceur and the client before activation of the account.

c. Service fees

Fluenceur applies service fees of 5% calculated on the amount of the commission due to each Affiliate.

These fees, billed to the Advertiser at the time of payment of the commissions, are added to the total amount paid to the Affiliate.

These fees are invoiced in addition and appear separately on invoices issued by Fluenceur.

Illustrative example:

If an Affiliate generates a sale for a total amount of €1,000 and the Advertiser has set a commission of 10%, the remuneration due to the Affiliate is €100.

Fluenceur then applies its service fees of 5%, i.e. €5 additional.

The total amount debited from the Advertiser at the time of payment will therefore be €105 (€100 for the Affiliate + €5 in Fluenceur service fees).

4. Payment

4.1 Payment by card via Stripe. Subscriptions are renewed monthly. Service fees are automatically debited with each commission payment.

4.2 Third-party billing

Acceptance

The Advertiser acknowledges and agrees that Fluenceur issues invoices relating to commissions in the name and on behalf of the Affiliates, by virtue of a billing mandate granted by the Affiliate to Fluenceur (in accordance with Article 289 I-3 of the French General Tax Code).

Terms

Fluenceur will issue a single invoice or a periodic summary document including separately:

  1. The amount of commissions due to the Affiliates (invoiced in the name of the Affiliates, net of VAT or incl. VAT depending on their status).
  2. The Fluenceur service fees (invoiced by Fluenceur with VAT).

Responsibility

Fluenceur acts as a technical intermediary for the issuance of invoices. The Advertiser remains solely responsible for payment of the sums due and for verifying the tax compliance of the invoices received with regard to its own accounts.

5. Termination

The subscription is without commitment and may be terminated at any time via the user interface. Termination takes effect at the end of the current month. No partial refund will be made.

Fluenceur may suspend access in the event of fraud, serious breach or manifest abuse.

6. User Obligations

Advertisers

  • Provide accurate information about their business
  • Comply with applicable tax and legal rules
  • Ensure compliant payment of commissions
  • Not use Fluenceur for illegal or fraudulent purposes

Affiliates

  • Comply with the terms of each program
  • Publish content that complies with the law and commercial reality, and mention the collaboration
  • Not create fraudulent traffic or carry out self-purchases

7. Disputes and Complaints

8. Limitation of Liability

8.1 Fluenceur acts as a technical intermediary:

  • Does not intervene in contractual relations between Advertisers and Affiliates
  • Does not guarantee payments, content or performance
  • Is not liable for direct or indirect damages

8.2 Use of UGC (User Generated Content)

Content (photos, videos, posts) identified via Instagram integration and made accessible in the Platform interface may only be used by the Advertiser for internal consultation purposes, creator qualification and campaign management.

Any download or external reuse of such content (for commercial, advertising or public distribution purposes) is strictly subject to obtaining the prior express written consent of the creator concerned, via the discussion thread integrated into the Platform or by any other documented means.

Fluenceur grants no intellectual property right or license over the content displayed. The Advertiser remains solely responsible for any unlawful or unauthorized use of downloaded media, in particular with regard to the French Intellectual Property Code or image rights.

9. Modification of the CGV

The CGV may be amended with 30 days’ notice. Continued use of the service constitutes acceptance.

Amendments will not apply retroactively to current orders or subscriptions.

10. Partial Invalidity

If any clause is found to be invalid, the others shall remain in full force and effect.

11. Binding Force

The CGV constitute the entire agreement between Fluenceur and its users. They prevail over any prior exchange.

Applicable Language

These General Terms and Conditions are drafted in French. In the event of translation into another language, only the French version shall be binding between the parties in the event of a dispute, interpretation or discrepancy between versions.
