These General Terms and Conditions (GTC) govern the use of Fluenceur, a SaaS affiliate marketing platform enabling advertisers to recruit, activate and reward affiliates, particularly via social networks.
Definitions
For the purposes of these GTC, the following terms have the following meaning:
Advertiser: means any legal or natural person acting for professional purposes (brand, company, agency or distributor) using the Fluenceur platform to create, manage or monitor one or more affiliate programs. This term includes in particular e-commerce brands, agencies acting on behalf of their clients, and advertisers wishing to activate affiliates or creators.
Affiliate: means any natural or legal person having agreed to participate in an affiliate program offered by an Advertiser via the Fluenceur platform and likely to receive performance-based compensation.
Platform or Fluenceur: means the SaaS solution operated by DIGITSOLUTIONS, enabling the creation, management and monitoring of affiliate programs, as well as the processing of associated payments and commissions.
a. Free Trial - Freemium (14 days)
Fluenceur offers a free trial period of fourteen (14) days allowing Advertisers to test the Platform without commitment.
During the free trial, the Advertiser can access and use the Platform as well as the features included in the plan selected during registration, for the entire duration of the trial.
Unless cancelled before the end of the free trial via Shopify, the subscription starts automatically at the end of the trial and the first month is billed. The subscription is billed monthly and can be cancelled at any time via Shopify, with cancellation taking effect at the end of the current billing period.
b. Paid Subscriptions
Fluenceur offers monthly subscriptions without commitment, adapted to the operational needs of the Advertiser. Subscription fees are billed via Shopify.
Starter Plan - €169 excl. VAT / month
The Starter plan includes in particular:
Growth Plan - €349 excl. VAT / month
The Growth plan includes all the features of the Starter plan, plus:
Enterprise Plan - from €599 excl. VAT / month (quote)
The Enterprise plan is designed for high-volume Advertisers, agencies and groups requiring advanced configuration and dedicated support. It includes all the features of the Growth plan, and may include:
The applicable pricing and scope of services are defined in a specific quote signed by Fluenceur and the Advertiser before account activation.
c. Service Fees
In addition to subscription fees, Fluenceur applies service fees of 5% calculated on the amount of commissions paid to Affiliates via Fluenceur.
These fees:
Illustrative example: If a commission of €100 is due to an Affiliate, the Advertiser pays €105 in total (€100 for the Affiliate + €5 Fluenceur service fees).
4.1 Payment Terms
Subscriptions: billed via Shopify according to Shopify's terms.
Commission payments and service fees: settled via Stripe during commission payments made by the Advertiser on the Platform. Service fees are automatically calculated and deducted at each commission payment.
4.2 Billing on Behalf of Third Parties
Acceptance
The Advertiser acknowledges and accepts that Fluenceur issues invoices relating to commissions in the name and on behalf of Affiliates, pursuant to a billing mandate given by the Affiliate to Fluenceur (in accordance with article 289 I-3 of the French General Tax Code).

Fluenceur will issue a single invoice or a periodic summary document comprising separately:
Liability
Fluenceur acts as a technical intermediary for the issuance of documents. The Advertiser remains solely responsible for the payment of amounts due and for verifying the tax compliance of documents received with regard to its own accounting.
The subscription is without commitment and can be cancelled at any time via Shopify. Cancellation takes effect at the end of the current billing period. No partial refund is made.
Fluenceur may suspend access in case of fraud, serious violation or manifest abuse.

Any claim must be sent to contact@fluenceur.com. Fluenceur will favor an amicable resolution.

8.2 Use of UGC Content
Content (photos, videos, publications) identified via Instagram integration and made accessible in the Platform interface may only be used by the Advertiser for internal consultation purposes, creator qualification and program management.
Any download or external reuse (for commercial, advertising or public distribution purposes) is strictly subject to obtaining prior express written consent from the creator concerned, via the discussion thread integrated into the Platform or by any other documented means.
Fluenceur does not grant any intellectual property rights or license on the content displayed. The Advertiser remains solely responsible for any unlawful or unauthorized use of downloaded media.
8.3 Intellectual Property of Content Created by Affiliates
Content (photos, videos, texts, graphic creations, publications) produced by Affiliates within the framework of affiliate programs remains the exclusive property of their authors. The Advertiser has no automatic exploitation rights on this content.
Any reuse by the Advertiser outside of the Affiliate's initial publications on their own social networks (for example: paid advertisements, commercial website, marketing communications, printed materials) requires the Affiliate's prior written consent and the definition of terms of use (duration, scope, and where applicable, additional compensation).
Fluenceur may facilitate this negotiation via its integrated messaging but does not intervene in setting commercial conditions.
In case of unauthorized use of content created by an Affiliate, the Advertiser engages its liability for infringement in accordance with articles L335-2 and following of the French Intellectual Property Code.
The GTC may be modified with 30 days' notice. Continued use of the service constitutes acceptance. Modifications will not apply retroactively to current subscriptions.
If a clause is deemed invalid, the others retain their full effect.
The GTC constitute the complete agreement between Fluenceur and its users. They prevail over any prior exchange.
These GTC are written in French. In case of translation into another language, only the French version will prevail between the parties in case of dispute, interpretation or divergence between versions.
