These General Terms and Conditions of Sale (CGV) govern the use of Fluenceur, a SaaS affiliate marketing platform enabling advertisers to recruit, activate and reward affiliates, in particular via social networks.
Definitions
For the purposes of these CGV, the following terms have the meaning assigned to them below:
Advertiser: means any legal or natural person acting for professional purposes (brand, company, agency or distributor) using the Fluenceur platform to create, manage or monitor one or more affiliate programs. This term notably includes e-commerce brands, agencies acting on behalf of their clients and advertisers wishing to activate affiliates or creators.
Affiliate: means any natural or legal person who has agreed to participate in an affiliate program offered by an Advertiser via the Fluenceur platform and who may receive performance-based remuneration.
Platform or Fluenceur: means the SaaS solution operated by DIGITSOLUTIONS, enabling the creation, management and monitoring of affiliate programs, as well as the processing of related payments and commissions.
Fluenceur offers a free trial period of fourteen (14) days allowing Advertisers to test the Platform with no commitment.
During the free trial, the Advertiser may access and use the Platform and the features included in the plan selected at signup, for the duration of the trial.
Unless the Advertiser cancels before the end of the free trial through Shopify, the subscription automatically starts at the end of the trial and the first monthly fee is charged. The subscription is billed monthly and may be cancelled at any time through Shopify, with cancellation effective at the end of the current billing period.
Fluenceur offers monthly subscriptions with no commitment, adapted to the Advertiser’s operational needs. Subscription fees are charged through Shopify.

The Enterprise plan is designed for high volume Advertisers, agencies, and groups requiring advanced configuration and dedicated support. It includes all Growth features, and may include:
The applicable pricing and scope of services are set out in a specific quotation signed by Fluenceur and the Advertiser prior to account activation.
In addition to subscription fees, Fluenceur applies service fees of five percent (5%) calculated on the amount of commissions paid to Affiliates through Fluenceur.

If EUR 100 in commissions is owed to an Affiliate, the Advertiser pays EUR 105 in total (EUR 100 to the Affiliate + EUR 5 in Fluenceur service fees).
Subscriptions: billed through Shopify in accordance with Shopify’s terms.
Commission payments and service fees: paid through Stripe when the Advertiser pays commissions on the Platform. Service fees are automatically calculated and charged with each commission payment.
Acceptance
The Advertiser acknowledges and agrees that Fluenceur issues invoices related to commissions in the name and on behalf of the Affiliates, by virtue of a billing mandate granted by the Affiliate to Fluenceur (in accordance with Article 289 I-3 of the French General Tax Code).

Responsibility
Fluenceur acts as a technical intermediary for the issuance of such documents. The Advertiser remains solely responsible for payment of the sums due and for verifying the tax compliance of the documents received with regard to its own accounts.
The subscription is without commitment and may be cancelled at any time through Shopify. Cancellation takes effect at the end of the current billing period. No partial refund will be made.
Fluenceur may suspend access in the event of fraud, serious breach or manifest abuse.

Any complaint must be sent to contact@fluenceur.com. Fluenceur will favor an amicable resolution.
Fluenceur acts as a technical intermediary:
Content (photos, videos, posts) identified via Instagram integration and made accessible in the Platform interface may only be used by the Advertiser for internal consultation purposes, creator qualification and program management.
Any download or external reuse of such content (for commercial, advertising or public distribution purposes) is strictly subject to obtaining the prior express written consent of the creator concerned, via the discussion thread integrated into the Platform or by any other documented means.
Fluenceur grants no intellectual property right or license over the content displayed. The Advertiser remains solely responsible for any unlawful or unauthorized use of downloaded media.
The CGV may be amended with 30 days’ notice. Continued use of the service constitutes acceptance. Amendments will not apply retroactively to current subscriptions.
If any clause is found to be invalid, the others shall remain in full force and effect.
The CGV constitute the entire agreement between Fluenceur and its users. They prevail over any prior exchange.
These CGV are drafted in French. In the event of translation into another language, only the French version shall be binding between the parties in the event of a dispute, interpretation or discrepancy between versions.
