2. Purpose

These Terms and Conditions govern the use of Fluenceur, an affiliate marketing platform enabling advertisers to recruit, activate and reward affiliates, particularly via social networks.

Definitions

For the purposes of these Terms and Conditions of Sale, the following terms have the meaning assigned to them below:

  • Advertiser: refers to any legal or natural person acting for professional purposes (brand, company, agency or distributor) using the Fluenceur platform to create, manage or track one or more affiliate programs.This term includes in particular e-commerce brands, agencies acting on behalf of their clients and advertisers wishing to activate affiliates or creators.
  • Affiliate: refers to any natural or legal person who has agreed to participate in an affiliate program offered by an Advertiser via the Fluenceur platform, and who may receive performance-based compensation.
  • Platform or Fluenceur: refers to the SaaS solution operated by DIGITSOLUTIONS, enabling the creation, management and tracking of affiliate programs, as well as the processing of associated payments and commissions.

3. Pricing and Services

a. Free trial – Freemium (14 days)

Fluenceur offers a free trial period of 14 days, allowing advertisers to discover the main features of the platform without commitment.

During this period, the user has limited access to the following features:

  • Shopify and Instagram connection (independent integrations)
  • Automatic identification of creators who have mentioned the advertiser on Instagram
  • Access to UGC content and associated statistics
  • Creation and management of an affiliate program
  • Manual invitation of affiliates by email address

At the end of the trial period, access to features is suspended, unless a paid plan is subscribed to.

b. Paid subscriptions

Fluenceur offers several monthly plans without commitment, tailored to the size and operational needs of advertisers.

Essential Plan – €149 excl. VAT / month or €119 excl. VAT/month (annual commitment)

  • Direct connection to Shopify for automated tracking of sales and commissions
  • Instagram integration for detecting mentions and UGC content
  • Up to 3 simultaneous affiliate programs
  • Unlimited affiliate invitations (via email or Instagram mentions)
  • Simplified dashboards
  • Access to secure affiliate portal (sales tracking, promo codes, payments)

The Fluenceur service fees (5%) usually applied to commissions paid to affiliates are waived for customers with a custom subscription.

Pricing and functional terms are subject to a specific quote signed between Fluenceur and the client before account activation.

c. Service fees

Fluenceur applies service fees of 5% calculated on the commission amount due to each affiliate.

These fees, charged to the advertiser at the time of commission payment, are added to the total amount paid to the affiliate.

These fees are charged separately and appear distinctly on invoices issued by Fluenceur.

Illustrative example:

If an affiliate generates a sale with a total amount of €1,000 and the advertiser has set a commission of 10%, the compensation due to the affiliate is €100.

Fluenceur then applies its service fees of 5%, i.e. €5 additional.

The total amount charged to the advertiser at the time of payment will therefore be €105 (€100 for the affiliate + €5 in Fluenceur service fees).

4. Payment

4.1 Card payment via Stripe. Subscriptions are renewed monthly. Service fees are automatically charged with each commission payment.

4.2 Billing mandate / Self-billing

  1. AuthorizationBy checking the box provided during registration, the advertiser (principal) authorizes Fluenceur (agent) to issue, in its name and on its behalf, invoices related to commissions for affiliate programs in accordance with Article 289 I-2 of the General Tax Code.
  2. Scope of the mandateThe mandate covers automatic billing of commissions due to affiliates under programs managed via the Platform.
  3. Mandatory legal informationFluenceur undertakes to issue invoices complying with required legal information: full identity of the parties, SIRET/VAT number, explicit mention "Invoice issued by Fluenceur in the name and on behalf of [the advertiser]", specific numbering, applicable VAT, etc.
  4. ResponsibilitiesThe advertiser remains responsible for verifying issued invoices, paying VAT where applicable, and remains subject to its tax obligations. Fluenceur as agent is limited to the material establishment of invoices, without transferring tax liability.
  5. Duration and terminationThe mandate is valid for the duration of the contractual relationship. It may be revoked in writing by the advertiser or Fluenceur with 30 days' notice, without retroactivity on invoices already issued.
  6. ArchivingThe parties undertake to retain for the legal ten-year period the invoices issued under the mandate, in accordance with tax rules in force.This mandate is valid in all Member States of the European Union in accordance with Articles 218 and 224 of Directive 2006/112/EC relating to the common VAT system

5. Termination

The subscription is without commitment and can be terminated at any time via the user interface. Termination takes effect at the end of the current month. No partial refunds will be made.

Fluenceur may suspend access in case of fraud, serious breach or manifest abuse.

6. User obligations

Advertisers

  • Declare accurate information about their business
  • Comply with applicable tax and legal rules
  • Ensure compliant payment of commissions
  • Not use Fluenceur for illegal or fraudulent purposes

Affiliates

  • Comply with the terms of each program
  • Publish content that complies with the law, commercial reality, and mention the collaboration
  • Not create fraudulent traffic or make self-purchases

7. Disputes and complaints

Any complaint must be sent to contact@fluenceur.com. Fluenceur will favor an amicable resolution.

8. Limitation of liability

8.1 Fluenceur acts as a technical intermediary:

  • Does not intervene in contractual relationships between Advertisers <> Affiliates
  • Does not guarantee payments, content or performance
  • Is not responsible for direct or indirect damages

8.2 Use of UGC (User Generated Content)

Content (photos, videos, publications) identified via Instagram integration and made accessible in the Platform interface may only be used by the Advertiser for internal consultation purposes, creator qualification and campaign management.

Any download or external reuse of this content (for commercial, advertising, or public distribution purposes) is strictly subject to obtaining prior express and written consent from the creator concerned, through the discussion thread integrated into the Platform or by any other documented means.

Fluenceur does not grant any intellectual property rights or license to the content displayed. The Advertiser remains solely responsible for any unlawful or unauthorized use of downloaded media, particularly with regard to the Intellectual Property Code or image rights.

9. Modification of Terms and Conditions

The Terms and Conditions may be modified with 30 days' notice. Continued use of the service constitutes acceptance.

Modifications will not apply retroactively to current orders or subscriptions.

10. Partial nullity

If a clause is deemed invalid, the others retain their full effect.

11. Binding force

The Terms and Conditions constitute the entire agreement between Fluenceur and its users. They prevail over any prior exchanges.

Applicable language

These General Terms and Conditions are written in French. In the event of translation into another language, only the French version shall prevail between the parties in the event of a dispute, interpretation or divergence between versions.
